iSIGN Gets $1.5 million in Private Placement

TORONTO – iSIGN Media Solutions Inc., a provider of leading provider of interactive mobile advertising solutions in North America, closed a non-brokered private placement today to raise gross proceeds of $1,530,575.

iSignThe proceeds from the sale of the Notes will be used to retire outstanding short-term convertible notes issued this July and maturing on Oct. 28.

iSIGN issued issuing 9,566,094 units — with units including one common share and a share warrant — at 16 cents per unit. Warrants allow holders to buy shares at 24 cents for a period of 24 months from the date of closing. All securities are subject to a four-month-hold period.

TORONTO – iSIGN Media Solutions Inc. won’t be acquiring POS Canada Inc.

iSIGN, a provider of interactive mobile advertising solutions, announced yesterday that the deal with privately held POS Canada, a point-of-sale supplier to the corporate hospitality and retail industry, is dead.

iSign MediaAnnounced in late May, the agreement called for a straight stock exchange of iSIGN shares for POS Canada shares. iSIGN noted a delay in the deal in late July, as “there are a number of documents to be finalized, as well as a number of outstanding matters relating to the Definitive Purchase Agreement.”

PQ Media: Digital OOH 11% Global Growth in 2014

STAMFORD, Conn. – Global digital out-of-home media should pick up its growth pace this year to 11.3%, besting the 9.3% revenue gain to $8.86 billion last year, according to marketing-research firm PQ Media.

First-half 2014 indicators show a dynamic combination of the global economy gaining momentum, two sporting mega-events, and increased healthcare, political and transit ad spending, notes PQ Media’s new Global Digital Out-of-Home Media Forecast 2014-18. It also predicts DOOH revenues will post a 12.4% compound annual growth rate (CAGR) in the 2014-18 period, reaching $15.92 billion.

TORONTO – The acquisition of POS Canada by iSIGN Media Solutions Inc. is on hold, according to a iSIGN announcement yesterday.

iSIGN buy of POS Canada Delayed“While the parties are working diligently through the substantial documentation required to support the transaction, there are a number of documents to be finalized, as well as a number of outstanding matters relating to the Definitive Purchase Agreement,” the company noted in the statement.

iSIGN announced the deal on May 28, agreeing to buy all outstanding shares of POS Canada by July 31.
